Terms of Use – Non-Exclusive Sound Recording License
These Terms of Use (“Terms”) apply to any license holder (“Licensee”) who has purchased a non-exclusive license to use a sound recording (“Sound Recording”) from Xavier Thompson (“Licensor”). Use of the Sound Recording constitutes acceptance of these Terms.
1. Grant of Rights
Licensee is granted a perpetual, non-exclusive, non-transferable license to:
Reproduce, distribute, and publicly perform the Sound Recording in derivative works.
Create derivative works incorporating additional lyrics, vocals, instruments, or production.
Use the Sound Recording in synchronization with visual media.
Use the Sound Recording as a standalone product (e.g., background music in videos, podcasts, or live events).
2. Ownership
The Sound Recording remains the sole property of Licensor.
Licensee may not claim ownership of the original Sound Recording.
Licensee may register derivative works (e.g., new master recordings) with copyright offices, publishing entities, and Content ID systems, provided Licensor’s publishing and ownership information is properly included.
3. Credit, Registration, and Royalties
All works incorporating the Sound Recording must:
Include the following credit on all commercial releases:
“Music/Produced by Xavier Thompson”Be registered with the following details when submitted to DSPs, publishers, copyright offices, and collection societies:

Royalties must be split based on the total number of credited contributors, with Licensor (Producer) receiving no less than 1 ÷ total contributor count (including the Producer).
4. Restrictions
Licensee shall not:
Sell, sublicense, or redistribute the original Sound Recording as a standalone product.
Register the original Sound Recording as their own intellectual property.
5. Governing Law
These Terms are governed by the laws of Nebraska.
By using the Sound Recording, Licensee agrees to these Terms of Use.
